  1. General

Welcome to the Regent Street money collections service website (including all applications, web applications, webpages, subdomains and subparts therein contained) (the “Site”). The Site is owned and operated by Regent Street Solutions SA (Pty) Ltd with registration number 2024/504727/07 (“Regent Street”, “we”, “us” and/or “our”). The Site has been created (i) to provide information about Regent Street; and (ii) to provide access to money transfer services (the “Regent Street” or “Services”).

Please read our terms and conditions carefully as the use of our Site is subject to your acceptance of the terms and conditions published on our Site at the time of your use. We may change our terms from time to time and such changes will take effect as and when published on this Site. If you do not accept our terms of use, then please do not make use of our Site or the Regent Street Services.

The Regent Street Services may not be used by persons or entities that are (i) resident, established, or ordinarily located in any country or territory subject to sanctions or other restrictions on our prohibited list, or (ii) engaged in any prohibited activity listed in these Terms. .

No person under the age of 18 years are permitted to use the services of Regent Street. Regent Street Services are only available to persons over 18 years of age.

  1. Registration

Regent Street onboards business customers (B2B) only (e.g., payment institutions/platforms). We do not onboard end-buyers or retail payers. 

To register, you must: (a) complete our onboarding application; (b) provide corporate documents (certificate of incorporation, directors/UBO register, proof of address), (c) identify controllers/UBOs (with acceptable KYC), (d) provide operating model and anticipated volumes/use-cases, (e) provide settlement instructions and authorised signatories, and (f) accept these Terms and our Privacy Policy. 

We perform KYB/KYC, sanctions screening, and risk assessment. We may request additional information (including merchant/payer due-diligence evidence) before activation or at any time thereafter. On approval, we provision collection details (e.g., virtual accounts or pooled account + reference rules) and, if applicable, API credentials for document intake/webhooks.

You must keep all information accurate and current, notify us promptly of material changes (ownership, control, directors, business model, geography, volumes), and cooperate with ongoing monitoring, reporting and audits. Regent Street cannot be held liable for any false , inaccurate or misleading information being provided.

  1. Eligibility & Exclusions

You must be 18+ and legally capable of binding the entity you represent.

You confirm the Services will not be used by or for: (i) any person/entity on sanctions lists, (ii) any country/territory on our prohibited jurisdictions list, or subject to your own licence restrictions, or (iii) any prohibited industries/activities listed in “Restricted Activities” as defined below. 

We may refuse, suspend, or terminate the Service where you or your merchants/payers fail screening, exceed risk tolerances, or provide incomplete/inaccurate information.

  1. Regulatory Requirements

By using the Regent Street Services, you agree to comply with all applicable laws, regulations, and compliance obligations relating to anti-money laundering, counter-terrorism financing, financial sanctions, and exchange control. Regent Street is required to perform due diligence on its clients, their transactions, and counterparties, and may request information or documentation from you at any time to meet legal and regulatory obligations.

You agree to cooperate fully with any compliance-related requests, including the provision of corporate information, ownership details, payment purpose, and supporting documents. Regent Street may delay, suspend, or refuse transactions where required to meet legal obligations or internal risk policies.

Where necessary or required by law, Regent Street may report certain activities or share client information with regulators, supervisory authorities, financial institutions, or law enforcement agencies. Continued use of the Services is subject to successful completion of due diligence and ongoing compliance with applicable requirements.

Failure to comply with these obligations may result in the suspension or termination of Services, or the freezing or return of funds where legally required.

  1. Discretionary Limits

We apply risk-based caps that may trigger enhanced due diligence (EDD), additional documents, or temporary holds:

  • Per-transaction limit: up to ZAR 10,000,000.

  • Daily aggregate limit: up to ZAR 20,000,000.

  • 30-day rolling volume: up to ZAR 100,000,000.

We may: (a) request invoices/POs/contracts, (b) require merchant/buyer detail confirmation, (c) obtain source-of-funds/source-of-wealth information for higher tiers, or (d) decline/return payments that breach limits or our risk policy. Limits can be revised at any time.

  1. Legal Requirements

Regent Street may disclose your personal data if required to do so by law (including, without limitation responding to a subpoena or request from law enforcement, court or government agency) or in the good faith belief that such action is necessary (i) to comply with a legal obligation, (ii) to protect and defend the rights or property of Regent Street, (iii) to act in urgent circumstances to protect the personal safety of users of the Site or the public, or (iv) to protect against legal liability.

6.1 FICA Documents

Regent Street collects personal data from you, which you voluntarily provide during the registration process for the Regent Street Services. The collection and storage of these documents (proof of ID, proof of income, proof of residence, proof of selfie, proof of permit) are a legal requirement imposed on Regent Street by the FICA and are in accordance with Regent Street’s internal rules.

By providing these documents and agreeing to our terms, you are agreeing that: 

(i) Regent Street may share these documents which may be stored with by a third party service provider, to which the FICA checks have been outsourced; 

And

 (ii) on request from the FIC, Regent Street has to make these documents available to the FIC with regard to a FICA audit or on any other grounds.

Should such a third party service provider, to which the FICA checks have been outsourced, be domiciled outside of the Republic of South Africa, you herewith provide consent to the transfer of the required documents and information outside of the Republic of South Africa.

You have the right to withdraw your agreement to and consent provided in terms of this section of the terms and conditions, but you will then be required to stop making use of the Regent Street Services. To withdraw your agreement and consent in this regard, you should contact Regent Street  at the contact details provided in the PAIA Manual on Regent Street website, provide Regent Street with a copy of your identity document to confirm your identity and specify in respect of what you wish to withdraw your agreement and/or consent.

  1. Payment (rules, fees, funds, reversals)

7.1 General

  • How to pay in. Payers must use bank-to-bank electronic transfer (EFT/RTGS) from an account in their own name. Cash, cheques, card payments, third-party deposits, and crypto are not accepted unless we agree in writing.

  • Where to pay. We will specify either (a) a Virtual Account (VA) dedicated to your merchant, or (b) a pooled account plus a unique payment reference. Payers must use the correct account/reference.

  • Misapplied/incorrect payments. Payments sent to the wrong account, with missing/incorrect references, or from mismatched payer names may be delayed, returned, or held. We are not liable for loss/costs arising from payer error. A processing fee may apply to trace/return misapplied funds.

  • Fees & charges. Our collection/service fees are agreed in your commercial schedule and may be deducted from proceeds unless otherwise agreed. We disclose any processing or transfer fees before execution.

7.2 Refunds & Reversals

Refunds can only be returned to source, i.e. back to the original payer.

  • Before settlement: If you request a refund before we execute onward settlement, we may refund to the original payer less a pre-agreed refund fee and any bank costs.

  • After settlement: If onward settlement has already been executed, refunds may require a reverse transfer and will be net of bank fees and costs; timing is not guaranteed.

  • Compliance holds: We may withhold or return funds where AML/CTF, sanctions, fraud or legal obligations require it. We may request additional documents prior to any refund.

7.3 Chargebacks/recalls 

Where a payer bank initiates a recall/chargeback, you authorise us to debit your balance or future settlements for the amount plus associated costs.

7.4 Payout & Settlement

We batch and settle collected funds to your nominated account in accordance with your instructions and our cut-offs.

Target timeline: T+1 (subject to clearance, cut-offs, compliance checks, partner bank processing, and availability of payment rails). Settlement currency, beneficiaries, and value-dates must be pre-approved and may be restricted by regulation, sanctions, or partner requirements. There may be instances where due to third party constraints or technical difficulties payout or settlement is delayed , in these instances Regent will endeavour to effect payout or settlement as soon as reasonably possible. 

7.5 Cancellation of orders

  • Before we receive funds: You may cancel without charge.

  • After we receive funds but before settlement: We may cancel and return funds to the original payer, less pre-agreed processing fees and bank costs.

  • After settlement initiated: Cancellation may not be possible. If a recall is feasible, you agree to pay all related costs.

  • AML/CTF safeguard: We may decline cancellation or hold funds where required for investigations, and we may request additional documents before any refund/return.

7.6 Reserves, Set-off & Lien

We may establish and adjust a rolling reserve of up to 2.5% of processed funds (risk-based). You authorise us to set off any amount you owe (including recalls/chargebacks, reversals, penalties, adjustments, and fees) against funds we hold for you or future settlements. We hold a contractual lien over amounts standing to your credit until all sums due to Regent Street are paid.

7.7 Changes to Fees & Terms

We may update fees or these Terms by posting an updated version on the Site and/or notifying your registered contact. Material changes that reduce your rights or increase obligations take effect after 5 days’ notice. Your continued use after the effective date constitutes acceptance.

  1. Unclaimed Funds

If any funds remain unclaimed due to partner cancellation, are frozen, and/or if the sender cannot be contacted for a period of three years, such funds will be transferred to an unclaimed funds account and disbursed in accordance with the Prescription Act No. 68 of 1969.

  1. Disclaimer of Warranties and Liabilities

Except as expressly and specifically provided for in these terms and conditions all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded from this agreement; and the Services are provided to you on an “as is” basis. Regent Street will endeavour to make settle funds to the Client’s designated account as soon as possible, but we make no representations or warranties regarding the amount of time needed to complete processing because our services are largely dependent upon many factors beyond our control, such as, without being limited to, delays or outages within banking networks and financial service providers.

Whilst we will do our best to maintain the operation of our Services, we do not guarantee continuous, uninterrupted or secure access to the Services and operation of the Site and related systems may be unavailable, delayed, degraded due to factors outside our control. We shall not be liable for any delay or failure in the provision of our Services or the working of our Site and Services where such failure is due to factors beyond our reasonable control, save that we will use reasonable endeavours to fulfil our obligations hereunder.

Our Services depend on third-party providers (including banks, payment processors, messaging, and hosting). We are not liable for delay, interruption, or failure caused by third-party services, provided we use reasonable care in selecting and coordinating such providers. 

Although we at all times attempt to ensure that the details of the Services offered on our Site are displayed and described accurately, we do not warrant the same and disclaim to the maximum extent permitted by law any liability arising from any omissions or inaccuracies pertaining to such display and description.

We will not be held liable for any indirect, special or consequential losses of any kind whatsoever arising in connection with any money order (whether in contract, statute or delict) save to the extent that such liability is excluded by law.

You acknowledge that your access to the Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the Site as soon as we reasonably can.

  1. Privacy policy

Regent Street undertakes to take due care with any information (such as your personal details, proof of identification, proof of income, proof of residence) which you may provide to us when accessing our Site. We, however, do not warrant and cannot guarantee the security of any information which you may provide to us. Information you transmit to us is entirely at your own risk although we undertake to take reasonable steps to preserve such information in a secure manner. Our compliance with privacy legislation is set out in our privacy policy .

  1. Storing of your details

For verification purposes we reserve the right to request proof of identification in an off-line format. Your IP address and access times are tracked against your user id for the purpose of preventing fraud and creating an audit trail when sending a payment or logging onto our secure server. 

  1. Restricted Services

The following uses of the Services are prohibited:

  • Using the Regent Street Services while impersonating any person or entity, falsely claiming an affiliation with any person or entity.

  • Using the Regent Street Services to make unsolicited offers, advertisements, proposals, or send junk mail or spam to others. This includes, but is not limited to, unsolicited advertising, promotional materials, or other solicitation materials, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signature.

  • Using the Regent Street Services for any illegal purpose, or in violation of any local, provincial, national, or international law, including, without limitation, laws governing intellectual property, taxation and other proprietary rights and data protection and privacy.

  • Using the Regent Street Services to defame, harass, abuse, threaten or defraud others, or collect, or attempt to collect, personal information about users, recipients, or third parties without their consent.

  • Using the Site if you are under the age of eighteen (18).

  • Using the Regent Street Services in order to act as a private banking institution.

  • Using the Regent Street Services in any manner that could damage, disable, overburden, or impair it, including, without limitation, using the Regent Street Services in an automated manner.

  • Using Regent Street to intentionally interfere with user’s or recipient’s enjoyment of the Services, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.

  • Using Regent Street in any way that assists you in violating any law, statute or ordinance.

  • Using Regent Street to send or receive what Regent Street reasonably believes to be potentially fraudulent funds.

  • Using the Regent Street Services in a manner that results in or may result in complaints, disputes, reversals, chargebacks, fees, fines, penalties and other liability to Regent Street, a user, a third party or you.

  • Using the Regent Street Services in a manner that Regent Street or any bank, financial institution or card payment network reasonably believe to be an abuse of the payment card system, a violation of payment card network rules or a violation of any banking rules or laws.

  • Using the Regent Street services to collect or contribute money for something that may be deemed harmful, false, misleading, unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, or racially or ethnically offensive.

  • Using Regent Street to control an account that is linked to another account that has engaged in any of the foregoing activities. Regent Street may use evidence other than your account information to determine whether you control an account in someone else’s name, including but not limited to internet protocol addresses, common business names, phone numbers, and mailing addresses.

  • Using Regent Street to collect payments that support pyramid or ponzi schemes, matrix programs, other “get rich quick” schemes or certain multi-level marketing programs.

Using Regent Street to sell:

  • Items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction.

  • Items that promote hate, violence, racial intolerance, or the financial exploitation of a crime.

  • Items that encourage, promote, facilitate or instruct others to engage in illegal activity.

  • Items that promote, support or glorify acts of violence or harm towards self or others.

  • Drugs, alcohol or drug paraphernalia.

  • Items that are obscene or pornographic.

  • Real estate or motor vehicles.

  • Live animals

You agree that Regent Street may seize or freeze funds that are reasonably deemed by Regent Street to have resulted from fraud or any prohibited behaviour outlined in this section.

Should any of the terms in this section be breached by you, Regent Street, at its sole discretion reserves the right to remove, without prior notification, any material from the Site or to suspend, alter or terminate your registration and access to the Services.

  1. Intellectual Property

All content, trademarks and data on this Site, including but not limited to software, databases, text, graphics, icons, links, designs and agreements, are the property of or under license of Regent Street . As such they are protected by local and international legislation and agreements. You may download, view and print content from this Site only for private and non-commercial ends.

  1. Indemnity

You indemnify Regent Street and hold it harmless against any loss, liability, damage or expense suffered or incurred by Regent Street (and all costs reasonably incurred in connection therewith, including legal costs on an attorney and own client scale) which arise out of or are connected in any manner whatsoever with use or misuse of, or access to, the Site, the Services, the content, or otherwise from user content, violation of these terms and conditions, or infringement by the user, or any third party using the user account or identity on the Site, of any intellectual property or other right of any person or entity.

  1. Third party websites

Where links and pointers have been provided by Regent Street to other third party websites, these links are provided without endorsement by Regent Street. Regent Street is not responsible for the content of linked third-party websites and does not make any representations regarding the content and accuracy of materials on such websites. Linking to third party websites is solely at your own risk.

  1. Domicilium and Notices

The Site is governed by the laws of the Republic of South Africa and Regent Street chooses as its dwelling (“domicilium”), for all purposes, whether in respect of court process, notice, or other documents or communication of whatsoever nature:

Who Can Use This Service

You cannot use our services for illegal purposes, fraud, spam, impersonation, or to collect funds for pyramid schemes or activities that promote hate, violence, or racial intolerance. Selling specific items like drugs, weapons, or obscene material is also forbidden.

The service is provided "as is," and we do not guarantee it will be uninterrupted or error-free, as it relies on third-party systems like banks. Our liability for any indirect or consequential losses is limited.
